Incorporation: The ETF is a unit trust established under the laws of the Province of Ontario pursuant to the Amended and Restated Master Declaration of Trust dated May 16, 2023, as amended (the "Declaration of Trust"). The Units were established pursuant to the Amended and Restated Supplemental Trust Deed No. 3 dated May 15, 2024, to the Declaration of Trust.

Nature of business:

The ETF aims to provide investors with a diversified portfolio designed to provide a balance between long-term capital appreciation and income with an emphasis on long-term capital appreciation by investing primarily in ETFs that invest in Canadian, U.S. and international debt instruments and equity securities. The ETF may also invest in other mutual funds or invest directly in individual debt instruments and equity securities and cash or cash equivalents.
Transfer agent and registrar: J.P. Morgan Bank Canada at its principal office in Toronto.
Distributions: Cash distributions, if any, will be payable annually.

Offering document: Simplified Prospectus dated May 16, 2024, which is available at www.sedarplus.ca. Capitalized terms not otherwise defined herein are as defined in the Offering document.
Initial public offering: 50,000 Units will be issued at a subscription price of $20 per Unit. The ETF is authorized to issue an unlimited number of Units. The Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
